You agree that any legal proceedings arising out of or related to these Terms or the Services shall be brought exclusively in the courts of the Province of Ontario, located in the City of Toronto, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to the exercise of jurisdiction over you by such courts and to the venue of proceedings in such courts.
If you are accessing the Services from a jurisdiction outside of Canada, you are responsible for compliance with all applicable local laws. Nothing in these Terms shall be construed to limit any rights or remedies available to EduAI Canada under the laws of any applicable jurisdiction.
In the event of any dispute, claim, or controversy arising out of or related to these Terms or the Services ("Dispute"), the parties agree to first attempt to resolve the Dispute through good-faith informal negotiation. You agree to send written notice of the Dispute to EduAI Canada at the contact information provided in Section 14, describing the nature of the Dispute and the relief sought. EduAI Canada will endeavor to respond within fifteen (15) business days.
If the Dispute cannot be resolved through informal negotiation within sixty (60) days of the initial notice, either party may submit the Dispute to binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules. The arbitration shall take place in Toronto, Ontario, and shall be conducted in English. The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Nothing in this section prevents either party from seeking urgent interim measures from a court pending the outcome of arbitration.
EduAI Canada reserves the right to suspend, restrict, or terminate your access to the Services, in whole or in part, at any time and for any reason, including but not limited to a violation of these Terms, without prior notice or liability. Upon termination, your right to use the Services ceases immediately.
You may discontinue your use of the Services at any time by simply ceasing to access the website. If you have an active service agreement with EduAI Canada, termination of that agreement shall be governed by the terms set forth in the specific contract between you and EduAI Canada, which may contain separate termination provisions.
All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, limitations of liability, indemnification, and dispute resolution. Termination does not affect any rights or obligations that accrued prior to the effective date of termination.
EduAI Canada reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and will provide notice of the changes through a prominent banner on our homepage for a minimum period of fourteen (14) days before the changes take effect.
If you have provided us with your email address through a form submission or service engagement, we may also notify you of material changes via email. However, it is your responsibility to review these Terms periodically for any changes.
Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of and agreement to the updated Terms. If you do not agree with the revised Terms, you must discontinue use of the Services before the changes take effect.

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
Entire Agreement: These Terms, together with the Privacy Policy and any separate service agreements you may enter into with EduAI Canada, constitute the entire agreement between you and EduAI Canada regarding your use of the Services. These Terms supersede all prior or contemporaneous communications, proposals, and representations, whether electronic, oral, or written, between you and EduAI Canada with respect to the Services.
Waiver: The failure of EduAI Canada to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver of any provision shall only be effective if made in writing and signed by an authorized representative of EduAI Canada.
Assignment: You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of EduAI Canada. EduAI Canada may assign these Terms without restriction.
Force Majeure: EduAI Canada shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, internet or telecommunications failures, strikes, or other labour disputes.
